1. Acceptance of Terms

By accessing or using REEUP ("the Platform"), you agree to be bound by these Terms of Service. REEUP provides a cannabis supply chain management platform including METRC compliance automation, B2B wholesale marketplace, inventory intelligence, and AI-powered operational tools. If you do not agree to these terms, you may not use the Platform.

2. Eligibility

The Platform is available only to licensed cannabis businesses operating in jurisdictions where cannabis is legal. You must hold a valid cannabis license (verified via METRC and/or OCM) and be authorized to conduct cannabis business in your jurisdiction. You must be at least 21 years of age to use the Platform.

3. Account Registration

You must provide accurate and complete information during registration, including your cannabis license details and METRC API credentials. You are responsible for maintaining the confidentiality of your account credentials. Multi-tenant access is managed through entity-scoped permissions with role-based access control (owner, admin/manager, staff, viewer).

4. Platform Services

REEUP provides the following services:

METRC Compliance — Automated seed-to-sale tracking with two-way METRC API synchronization, variance detection, and regulatory reporting
B2B Wholesale Marketplace — Product listing, tiered pricing, order management, and business relationship tools for cannabis B2B transactions
Inventory Intelligence — AI-powered demand forecasting, ABC/XYZ classification, dead stock analysis, and automated reorder recommendations
POS Integration — Data synchronization with supported POS systems (currently Dutchie)
Delivery Management — Fleet tracking, route optimization, and delivery proof via Fleetbase integration
AI Agent Access — Model Context Protocol (MCP) server with 304 tools enabling AI assistant integration

5. Subscription and Payment

REEUP offers subscription-based access with a 5-day free trial following METRC verification. Payments are processed through Stripe. You authorize recurring charges for your selected subscription plan. Cancellation takes effect at the end of the current billing period.

6. B2B Marketplace Terms

The wholesale marketplace facilitates transactions between licensed cannabis businesses. REEUP is not a party to marketplace transactions. Sellers are responsible for product quality, accurate descriptions, METRC compliance, and fulfillment. Buyers are responsible for payment and accepting deliveries. All marketplace transactions must comply with applicable cannabis regulations.

7. AI and MCP Usage

When you connect AI assistants to REEUP via MCP or the OpenAI adapter, you acknowledge that: AI-initiated read operations may execute automatically; AI-initiated write operations are subject to confidence scoring and may require your manual approval; you are responsible for reviewing and approving AI-suggested actions; and REEUP does not guarantee the accuracy of AI-generated recommendations.

8. Compliance Responsibility

While REEUP automates many compliance tasks, you remain solely responsible for your cannabis regulatory compliance. REEUP is a tool that assists with compliance reporting; it does not provide legal advice or guarantee regulatory compliance. You must verify all METRC submissions and maintain accurate records as required by your licensing authority.

9. Data Ownership

You retain ownership of your business data, including inventory records, sales data, compliance records, and customer information. You grant REEUP a license to process this data as necessary to provide the Platform services. Multi-tenant data isolation ensures your data is accessible only to authorized users within your entity.

10. Limitation of Liability

REEUP provides the Platform "as is" without warranties of any kind. We are not liable for any damages arising from METRC API downtime, third-party integration failures, AI recommendation inaccuracies, marketplace transaction disputes, or regulatory actions. Our total liability is limited to the fees paid during the preceding 12 months.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Platform will be revoked. We will retain compliance data as required by cannabis regulatory authorities. You may request export of your data prior to termination.
